Venue and Jurisdiction
Any and all disputes or disagreements rising between Company and You out of this Terms and Conditions of Use upon which an amicable understanding cannot be reached, shall be decided by arbitration in accordance with the procedural rules of the American Arbitration Association. Company and You agree to be bound by the decision of the arbitrator(s). The arbitration proceeding shall take place in Montgomery County, TX. The cost and expenses of the arbitrators shall be shared equally by the Parties. Each party shall be responsible for its own costs and expenses in presenting the dispute for arbitration.
Design Process: Working with a boutique custom designer, due dates and turnaround times fluctuates based on the time of year and project load. Rush fees apply if due date is within 2 weeks or during a holiday season that would require additional production time.
The main piece (typically the invitation) is designed first as a starting point. Coordinating pieces are designed after the main piece receives approval. Digital proofs for approval will be delivered to the client through forms online. Hard copy proofs can be produced but will add time to the job process and will start at $50. Client is able to leave feedback and approve directly online. If the design is not going in the direction you want, let us know immediately. It’s easier (and faster) to change directions earlier in the process. Revisions beyond 3 rounds may be subject to additional charges at the discretion of JPK. All changes and additions, such as invitation count and design changes, must be made via email and approved prior to the due date. Additional items can affect the due date and will be communicated at the time of the change order. If count decreases by more than 10% after paper products are ordered then client will pay for the cost of paper.
JPK Designs and Additional Usage: Jo's Paper Kitchen cannot design invitations including copyrighted material. Any concepts created throughout the design process, whether they are used in the final product or not, remain the intellectual property of JPK. Designs may not be reproduced or printed by other designers, printers or the client. JPK reserves the right to use such concepts in both digital and physical portfolios. Rejection of the completed project or cancellation during the design process will result in forfeiture of deposit and the billing for all additional labor or expenses to date. Final artwork for all pieces remain property of JPK and usage by the client of the design or design elements without payment is not permitted. All designs and pieces of designs are copyrighted to Jo's Paper Kitchen for use as desired, whether it be for reproduction or advertisement. This includes event information on the designs. If the client wishes to make any additional uses of the designs provided by Jo's Paper Kitchen, the client agrees to seek permission from Jo's Paper Kitchen and make such payments as are agreed to between the parties at that time. Once permission has been given for the client to make additional uses of the designs, copyright notice in the name of Jo's Paper Kitchen shall accompany the designs when reproduced. The designs are not limited to one client. Jo's Paper Kitchen reserves the right to use the same design for duplicate clients, if requested.
Approvals: Items are printed after approval is given by client. It is the client's responsibility to proofread the designs carefully. All design changes will receive written approval and are final once sent to print. JPK is not responsible for errors in proofreading, and the client will incur costs of reprinting orders on a timeline determined by JPK. In the unlikely event that JPK makes an error, the reprinting will be provided at our cost.
Payment: A 50% retainer is required before Jo's Paper Kitchen can begin any designs or order supplies. The retainer is non-refundable. The billing will reflect the actual costs incurred. If there are minor adjustments, such as actual postage or number of invitations ordered, the final payment will be adjusted. Client will be notified of any changes and will receive updated invoice. The remaining 50% will be due at the time of production. Separate projects, including but not limited to: save the dates, invitations and day of details will be billed separately due to the accumulation of details throughout the design process. If final payment is not received, finished product will not be delivered, regardless of signed contract or estimated completion date. If the event is cancelled, it is at the discretion of Jo's Paper Kitchen if a percentage of the remaining balance will be refunded depending on how much production has been completed. The remaining balance is due once the final electronic proof is approved by the client. Orders are subject to a 8.25% sales tax. Payments via credit card, check or cash are accepted. There is a $25.00 fee for returned checks. The final product will not be turned over to the client until the remaining payment is received. If a balance is outstanding more than 60 days, it will be subject to collections or legal action.
Color Accuracy: Colors on the online proofs are an approximation, as computer monitors may vary the color. Color consistency in digital printing across different print runs and different printers is not guaranteed, due to the nature of digital printing.
Shipping and Delivery:
If the client is local, a meet up will be scheduled in the Montgomery, Texas area. If the client is not local or not able to meet up, final products can be shipped via FedEx, UPS Ground or USPS for additional shipping and handling fees paid for by the client.
Personal Information: JPK does not retain or distribute a digital or hard copy of any information collected in order to produce product. This includes names and addresses on mailing lists.
Indemnification: JPK is not responsible for any mailing errors or mistakes by the post office. Once items are delivered JPK is no longer responsible for how they are treated by client, carrier or postal service. It is encouraged that you spend the extra postage for invitations to be sent "non-machinable".
The client shall bear all costs, expenses, and reasonable attorney's fees in any action brought to recover payment under this contract or in which JPK may become a party by reason of this contract.
Impossibility: Notwithstanding the above, either party may choose to be excused of any further performance obligations in the event of a disastrous occurrence outside the control of either party, such as, but not limited to:
• A natural disaster (fires, explosions, earthquakes, hurricane, flooding, storms or infestation); or
• War, Invasion, Act of Foreign Enemies, Embargo, or other Hostility (whether declared or not); or
• Any hazardous situation created outside the control of either party such as a riot, disorder, nuclear leak or explosion, or act or threat of terrorism.
In this case no deposits will be returned.
Jo's Paper Kitchen reserves the right to refuse service to anyone in disagreement with this contract or with requests determined not feasible.
